Position Summary: Wolf Line Construction Company and its affiliated companies are seeking a pragmatic and business-minded In-House Counsel to provide legal guidance and support across their operations. The role partners directly with ownership, executives, operations, finance, and HR to provide practical legal guidance across construction operations, corporate matters, employment, contracts, insurance, and risk management. Based at our Charleston, SC headquarters, this position is ideal for an attorney who enjoys working directly with key business leaders and providing practical, solutions-oriented legal advice. The successful candidate will serve as a key legal resource across the affiliated companies, helping leadership identify and manage risk while supporting day-to-day operations and continued growth.
Key Responsibilities: Strategic Legal Support: Partner with executives and management to provide practical legal advice on corporate, operational, compliance, and risk-management matters. Corporate Governance Support : Prepare and maintain corporate approvals and governance documents; advise ownership on related legal issues. Contract Review & Negotiation: Draft, review, and negotiate a wide range of commercial agreements, including customer and project contracts, subcontracts, vendor agreements, NDAs, leases, and other business agreements. Project & Bid Risk Analysis: Review bids, RFPs, scopes, and project contracts; identify and negotiate key risks involving indemnity, insurance, payment, retainage, liquidated damages, warranties, schedule, delays, termination, and dispute terms. Employment & HR Support: Advise HR and management on multi-state employment matters, including policies, leave and accommodation issues, wage-and-hour matters, discipline and termination, employee communications, and other workplace compliance matters. Corporate & Business Matters: Support corporate governance, entity matters, business transactions, and other legal matters affecting the affiliated companies. Insurance & Risk Management: Review contractual insurance requirements, coordinate with brokers and leadership regarding coverage, advise on workers’ compensation and claims issues, and manage legal risk across operations in coordination with insurance carriers, brokers, and outside counsel. Regulatory Compliance: Advise on legal and regulatory requirements applicable to the affiliated companies’ operations in multiple jurisdictions. Dispute Resolution & Outside Counsel Management: Provide guidance on disputes and claims and manage outside counsel when specialized or additional legal support is necessary. Legal Training & Internal Support: Serve as an accessible legal resource for leadership and employees and provide guidance on legal and compliance matters as needed.
Who You Are: A practical, business minded attorney with experience in contracts who is comfortable serving as the primary legal re-source for multiple affiliated companies and working directly with ownership and senior leadership A hands-on generalist who can move between contracts, employment matters, corporate governance, insurance, compliance, and operation issues as business needs change. A strong issue-spotter and problem solver who can assess legal risk quickly, explain it clearly, and recommend workable solutions rather than simply identifying problems. An organized, responsive, team-oriented legal advisor who can independently manage a broad workload and know when specialized outside counsel is appropriate.
Qualifications: J.D. from an accredited law school and active membership in a state bar. 5+ years of legal experience, ideally with experience in corporate, construction, infrastructure, or commercial matters. Strong experience drafting and negotiating contracts, assessing risk, and advising business leaders. Familiarity with employment, insurance, and regulatory matters is preferred. Excellent interpersonal and communication skills, with the ability to translate legal issues into practical business advice.
