Mid-Level Venture Capital & Emerging Growth Companies Associate

Overview: The national Venture Capital & Emerging Growth Companies group advises emerging companies, venture funds, and growth-stage investors, primarily across the technology, life sciences/biotech, and consumer products sectors. The role involves advising on sophisticated corporate and transactional matters, including venture and growth financings, corporate governance, mergers and acquisitions, joint ventures, private equity, and capital markets, with substantial experience in emerging growth companies and venture capital. Responsibilities include representing both companies and investors in venture and growth equity transactions, drafting and negotiating NVCA-based and bespoke financing documents, advising on governance and capitalization matters, and collaborating with M&A, IP, tax, and regulatory teams on complex venture-backed transactions. Candidates require strong drafting skills, sound business judgment, the ability to manage multiple matters in a fast-paced, entrepreneurial environment, and the capability to navigate complex subject matter quickly and effectively. Experience beyond traditional technology practices, particularly in life sciences, is welcomed.
