Key Responsibilities: Advise clients on a full spectrum of capital markets transactions, including: Initial public offerings (IPOs)Follow-on equity offerings and block trades Investment grade and high-yield debt offerings Convertible debt transactions Private placements and equity investments Structure and execute complex and non-traditional transactions, including: Tender and exchange offers Consent solicitations Rights offerings Spin-offs, recapitalizations, and restructurings Provide guidance on ongoing public company obligations, including disclosure requirements and corporate governance matters Collaborate with clients such as public and private companies, investment banks, private equity firms, and REITsWhat You’ll Gain Lead and support high-profile transactions, including “first-of-their-kind” and large-scale deals Exposure to a wide range of sophisticated capital markets work across industries Direct client engagement and the opportunity to build long-term professional relationshipsA collaborative, high-performance environment within a top-ranked capital markets practice

Qualifications: J.D. from a top-tier law school and strong academic credentials 2–5 years of relevant experience in capital markets and securities transactions Admitted to practice law in NYC (or eligible to waive in)Excellent analytical, drafting, and communication skills
