PRIMARY RESPONSIBILITIES:
(including, but are not limited to): Support the General Counsel and legal services department
Administration of public company board and committee meeting process, maintain calendar, coordinate agendas, maintain database of resolutions
Prepare minutes and other routine corporate secretary documents for parent company and global subsidiaries
Maintain accurate and complete corporate records, minute books, entity records, and corporate governance databases, including coordination of required federal, state, local, and international filings.
Coordinate with internal business units and outside counsel to prosecute and maintain intellectual property registrations
Support equity plan administration, including Section 16 filings and Rule 144 opinions
Support with legal operations processes, including processes relating to financial statement audits, SOX compliance and insider trading compliance
Develop and implement reports for monitoring outside legal expenses
Confidentiality and sensitive information management
Support other projects as necessary

QUALIFICATIONS AND EDUCATION REQUIREMENTS:
Minimum of 7 years’ experience and Paralegal Certificate required
Experience working with public company corporate governance and board of directors preferred
Experience working for an international company a plus
Experience in the life sciences industry a plus
Strong computer skills, including advanced proficiency with Microsoft Office/365 products (Word & Excel)
