About Bitmine Bitmine Immersion Technologies, Inc. (NYSE: BMNR) is a publicly traded digital asset company operating at the intersection of blockchain infrastructure, institutional finance, and capital markets. Through its operating businesses and strategic investments, Bitmine is building the infrastructure supporting institutional adoption of digital assets. Bitmine's operating businesses include MAVAN (Made in America Validator Network), one of the world's largest institutional Ethereum staking platforms, providing enterprise-grade, non-custodial validator infrastructure to custodians, asset managers, exchanges, foundations, and other institutional clients. As the Company continues to grow, we are seeking an experienced attorney to lead Bitmine's public company legal function and serve as a trusted legal advisor to executive leadership and the Board of Directors.
Position Summary: This is a high-impact role serving as Senior Corporate Counsel for a NYSE-listed public company. You will lead Bitmine's public company legal function, working closely with the Chief Executive Officer, Chief Financial Officer/Chief Operating Officer, executive leadership, and the Board of Directors on matters critical to the Company's growth, governance, and strategic direction. You will own the full spectrum of Bitmine's legal work, including public company and securities matters, corporate governance, strategic transactions, commercial contracting, regulatory analysis, and legal operations. You will partner closely with the General Counsel of MAVAN on matters affecting the Company's operating businesses while directing outside counsel on specialized legal matters and serving as Bitmine's primary internal legal advisor. This role offers exceptional visibility into executive decision-making and broad responsibility across virtually every significant legal and business initiative undertaken by the Company. Success requires sound legal and commercial judgment, exceptional drafting and organizational skills, intellectual curiosity, and the ability to independently manage multiple complex matters in a fast-paced, entrepreneurial environment. A Typical Day No two days are the same. In a single day, you might review SEC disclosure for an upcoming filing, prepare materials for a Board committee meeting, negotiate a strategic commercial agreement, advise executive leadership on a potential acquisition, review a corporate governance policy, direct outside counsel on securities law questions, evaluate an emerging regulatory development affecting digital assets, and help structure a new institutional business initiative. This is a broad corporate practice with meaningful ownership from day one.
Key Responsibilities: Public Company & Corporate Governance Support the Company's SEC reporting obligations, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other securities law compliance matters. Coordinate meetings of the Board of Directors and Board committees, including agendas, resolutions, unanimous written consents, governance documentation, and Board materials. Support compliance with NYSE listing standards, disclosure controls, insider trading policies, and other public company governance requirements. Maintain corporate records and oversee governance across U.S. and international subsidiaries. Coordinate closely with outside counsel, auditors, transfer agents, and other external advisors. Strategic Transactions Support mergers and acquisitions, strategic investments, financings, restructurings, joint ventures, and other corporate transactions. Coordinate legal due diligence, transaction documentation, signing and closing processes, and post-closing integration activities. Advise executive leadership on legal considerations relating to strategic initiatives and new business opportunities. Commercial Legal Draft, review, negotiate, and manage a broad range of commercial agreements, including technology agreements, SaaS agreements, master services agreements, consulting agreements, NDAs, vendor agreements, and strategic partnerships. Support MAVAN's institutional business through negotiation of validator, staking, custody, infrastructure, and related commercial agreements. Improve contract lifecycle management processes and documentation standards. Regulatory & Compliance Conduct legal research relating to securities law, corporate governance, digital assets, blockchain technology, financial services regulation, and emerging technologies. Support enterprise compliance initiatives relating to AML/KYC, sanctions, privacy, cybersecurity, insurance, and enterprise risk management. Monitor legal and regulatory developments affecting the Company's business and provide practical, business-oriented legal advice. Legal Operations Build and continuously improve legal processes, templates, playbooks, policies, and knowledge management resources. Leverage AI-enabled legal technology to improve research, drafting, workflow automation, and operational efficiency. Manage legal documentation systems, Docu Sign workflows, and legal records. Partner closely with Finance, Accounting, Investor Relations, Compliance, Operations, and Technology teams to deliver practical legal support across the organization.
Qualifications: Required Juris Doctor (JD) from an accredited law school. Active license to practice law in Texas and membership in good standing with the State Bar of Texas. Six or more years of relevant legal experience at a leading law firm, publicly traded company, or a combination of both. Significant experience supporting public company legal matters, including SEC reporting, corporate governance, Board and committee matters, disclosure obligations, and securities law compliance. Experience supporting mergers and acquisitions, capital markets transactions, strategic investments, financings, or other sophisticated corporate transactions. Experience advising clients or companies in the digital asset, blockchain, cryptocurrency, fintech, or Web 3 industry. Strong understanding of Ethereum, blockchain technology, institutional digital assets, staking, and digital asset custody. Excellent drafting, negotiation, legal research, analytical, and project management skills. Proven ability to exercise sound legal and commercial judgment while managing multiple complex matters independently. Outstanding written and verbal communication skills with the ability to advise executive leadership and collaborate effectively with internal stakeholders and outside counsel. Experience leveraging AI tools and legal technology to improve legal workflows and productivity. Preferred Experience supporting NYSE- or NASDAQ-listed companies. Familiarity with the Securities Act of 1933, Securities Exchange Act of 1934, NYSE listing standards, and Section 16 reporting. Experience supporting institutional staking, validator infrastructure, digital asset custody, tokenized financial products, or decentralized finance (DeFi).Experience advising on U.S. financial regulatory frameworks applicable to digital assets, including SEC, CFTC, FinCEN, OFAC, and Bank Secrecy Act matters. Experience supporting international operations and coordinating with foreign counsel. Prior in-house legal experience within a technology, fintech, digital asset, or financial services company.
