Corporate Attorney

Responsibilities: Lead and support M&A transactions from letter of intent through closing Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and ancillary documents Conduct due diligence and manage transaction timelines Advise clients on corporate governance, compliance, and transactional risk Coordinate with opposing counsel, financial advisors, and stakeholders Support securities matters and public company transactions where applicable QualificationsActive Arizona Bar membership 8+ years of corporate transactional experience Significant experience handling M&A transactions Experience with public companies and securities law preferred Large law firm background a plus Strong drafting, negotiation, and client management skills
