Senior PE Compensation & Benefits Counsel

Cooley LLP's Compensation and Benefits practice seeks an Associate with 5+ years of experience advising on executive compensation and employee benefits, with a focus on representing private equity sponsors in acquisitions and divestitures and managing day-to-day portfolio company matters. The role includes handling grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements, along with related IRC 280G and
