We represent private equity sponsors, portfolio companies, founders, management teams, family-owned businesses, and investors in sophisticated corporate transactions across a wide range of industries. Our corporate practice is nationally recognized and consistently handles complex middle-market transactions, private equity investments, mergers and acquisitions, debt financings, and strategic business transactions. This is an outstanding opportunity for an attorney looking to work on sophisticated deals while enjoying meaningful responsibility, direct client interaction, and mentorship from highly accomplished transactional lawyers.
What You'll Do:
- Represent buyers, sellers, investors, and portfolio companies in mergers and acquisitions transactions
- Draft and negotiate: Purchase agreements
- Merger agreements
- Operating agreements
- Shareholder agreements
- Corporate governance documents
- Ancillary transaction documents
- Conduct due diligence and assist in transaction management
- Support private equity and strategic acquisitions
- Advise clients on corporate governance and general business matters
- Work directly with partners and clients on sophisticated transactions from letter of intent through closing
- Coordinate with specialists across tax, finance, employment, and regulatory matters
Ideal Candidate:
- J.D. from an accredited law school
- Active bar admission in Connecticut, New York, or ability to waive in 1-6 years of corporate transactional experience
- Experience with mergers and acquisitions transactions strongly preferred
- Mid-level associate experience handling key transaction components is ideal
- Strong drafting, negotiation, and project management skills
- Excellent academic credentials
- Background from an AmLaw firm, regional powerhouse, or sophisticated corporate boutique preferred
