About this Role
Proofing Station seeks a Director of Investments to join its growing team as a crucial hire to expand organizational capacity and bring rigorous, mission-aligned financial judgment to every investment made in Midwest food and farm businesses. The organization is looking for an experienced investment professional with demonstrated skills in analyzing, structuring, and executing deals, combined with a deep commitment to Proofing Station’s mission and the creativity to design capital solutions for underserved, early and mid-stage enterprises often not served by traditional lenders. The Director of Investments leads the assessment and structuring of every investment Proofing Station makes. Working closely with the Executive Director and the Investment Committee, the Director manages each step of the internal deal process, from financial review and readiness assessment through formal due diligence, deal structuring, the recommendation to the Investment Committee, legal negotiation, closing, and portfolio monitoring. The throughline of the role is disciplined de-risking and impact-first investing, ensuring that Proofing Station stewards its array of integrated capital to make a positive impact on Midwest food and farm businesses while maintaining rigorous processes at every stage.
Responsibilities:
Own the assessment of investment opportunities that come through the investment application process, including financial and commercial due diligence, financial modeling, budget and assumption analysis, and operational and financial risk assessment
Recommend the optimal deal structure for each opportunity under a range of finance and operating scenarios, drawing on the full set of tools Proofing Station deploys, including but not limited to debt, equity, credit enhancement, and targeted grants
Structure and negotiate the financial and legal terms and complete each transaction in collaboration with external counsel
Present opportunities to the Investment Committee for consideration and approval, and support the Committee in developing and updating the fund’s investment policies
Prepare screening memos and investment memos for each deal in advance of committee meetings to inform Investment Committee discussion and voting process
Ensure investment activity complies with applicable rules, regulations, and policies
Maintain the fund’s investment operations and systems; contribute to ongoing build-out of investment processes, policies and standards
Monitor the financial health of the portfolio at the individual company and portfolio levels, tracking performance, synthesizing financial models and impact dashboards, and preparing periodic valuations for the Investment Committee
Produce quarterly financial reporting, support annual impact reporting, and support fundraising and Board reporting as needed
Stay current on trends and risks in the Midwest food and agriculture system, and calibrate the fund’s risk assessment to the realities of food and farm enterprises
Represent Proofing Station and its values publicly as needed at conferences and events
Requirements:
Bachelor’s degree required
Five to eight years of lending or investment experience in impact investing, banking, or CDFI
First-hand experience with deal due diligence, underwriting, structuring, negotiating, and closing
Advanced financial, accounting, and financial modeling skills
Experience structuring across more than one capital type (for example debt, equity, credit enhancement, and grants), and ability to learn an integrated-capital approach quickly
Fluent communicator who can present complex quantitative analysis and qualitative context in written memos and to the Investment Committee in a way that drives sound decisions
Detail-oriented and deadline-driven, able to self-manage several deals at once, each at a different stage, while drawing on the wider team
MBA or relevant graduate degree preferred
