Corporate Associate

Location: Chicago strongly preferred. Bar admission is required in the state of the attorney’s resident and/or affiliated office. Salary/Package: Competitive salary dependent on qualifications and experience

What You’ll Do: Advise clients on mergers and acquisitions, private securities offerings, corporate governance and related matters. Draft and negotiate transaction documents, including purchase, shareholder and confidentiality agreements. Conduct due diligence and prepare reports for clients. Coordinate with clients and cross-functional teams to help execute transactions. Oversee junior associates and paralegals on matters. Provide strategic advice informed by relevant legal developments and industry trends. Ideal Candidate: At least three years of law firm experience, including general M&A matters. A solid background in securities matters and/or lending work. Strong knowledge of corporate law, securities regulations and corporate governance. Excellent drafting, negotiation, analytical and communication skills. Ability to manage complex matters independently and work collaboratively. J.D. from an accredited law school and admission to the bar in the relevant state.
