Asst. General Counsel - Development & Transactions

Key Responsibilities: Lead legal aspects of acquisitions, divestitures, investments, joint ventures, and strategic partnerships from structuring and due diligence through negotiation, execution, and integration. Advise business leaders on strategic transactions, commercial partnerships, and corporate development initiatives. Support management of the company's strategic investment portfolio, including governance, restructurings, and exit transactions. Coordinate with internal stakeholders, including finance, tax, HR, compliance, intellectual property, and employment teams, to ensure successful transaction execution. Prepare and support board and executive-level approval materials for strategic transactions. Provide counsel on corporate governance, regulatory, commercial, and general corporate matters as needed. Promote a strong culture of legal, regulatory, and ethical compliance.

Qualifications: J.D. and active Illinois law license.8-12 years of relevant legal experience with a major law firm and/or publicly traded company. Significant experience leading complex M&A transactions, investments, joint ventures, and strategic partnerships. Strong drafting and negotiation skills involving sophisticated corporate agreements. Knowledge of corporate governance, contract law, and public company matters. Experience advising senior executives and business leaders on strategic initiatives. Financial services or other highly regulated industry experience preferred.
